These Terms of Service ("Terms") are a legal agreement between you and Fairspleet LLC ("Fairspleet," "we," "us," or "our"), the Dubai-registered company that owns and operates Thally. These Terms govern your access to and use of thally.io, Thally Cloud, and other hosted services that link to them (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you use the Services for an organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization. If you do not agree to these Terms, do not use the Services.
Thally Services
Thally provides documentation software and hosted services for creating, publishing, searching, analyzing, and maintaining documentation for people and AI agents. Features may include managed hosting, team workspaces, repository integrations, documentation analytics, AI answers, and tools that draft documentation changes for review.
The open-source, self-hosted Thally software is separately licensed under the MIT License included with that software. These Terms govern Services operated by Fairspleet, not your use of open-source code under the MIT License. Third-party components may have their own license terms.
Eligibility and accounts
You must be at least 18 years old, or the age of legal majority where you live, and able to enter a binding contract. You must provide accurate account information and keep it current.
You are responsible for:
- safeguarding account credentials and connected-service permissions;
- activity under your account, except to the extent caused by Fairspleet's breach of these Terms;
- ensuring that workspace members have appropriate roles and access; and
- promptly notifying us at team@thally.io of suspected unauthorized access.
Workspace owners and administrators may manage member access, content, integrations, settings, and billing. If you join an organization-controlled workspace, that organization's administrator may access and control your account within the workspace and its associated content.
Plans, trials, billing, and refunds
Some Services are free and others require a paid plan. Current plan features and prices are shown on our pricing page. Unless a written order form says otherwise:
- prices are stated in U.S. dollars and exclude applicable taxes;
- subscriptions renew automatically for the same billing period until canceled;
- you authorize our payment provider to charge the payment method on file;
- upgrades take effect immediately and may be charged on a prorated basis;
- downgrades and cancellations take effect at the end of the current paid billing period; and
- fees are non-refundable except as stated in these Terms or required by law.
Thally Cloud may include a 14-day trial without a credit card. Trial features or limits may differ from a paid plan. We may end or modify a trial to prevent abuse.
If Thally is not the right fit within your first 30 days on a paid plan, contact team@thally.io and we will refund your most recent payment. This refund policy does not apply to Enterprise agreements, misuse of the Services, or repeat subscriptions by the same customer. Enterprise pricing, service levels, and payment terms are governed by the applicable order form.
We may change prices for a future renewal by giving reasonable advance notice. If payment is overdue, we may limit or suspend paid features after providing notice and a reasonable opportunity to pay.
Customer content and integrations
"Customer Content" means documentation, code, repository data, prompts, instructions, files, configuration, feedback, and other content that you or your users submit to the Services.
You retain ownership of Customer Content. You grant Fairspleet a limited, non-exclusive, worldwide license to host, copy, transmit, display, modify, and process Customer Content only as needed to provide, secure, support, and improve the Services; comply with your instructions; and meet our legal obligations. This license ends when the content is deleted from active systems, subject to limited backup retention and legal requirements.
You represent that you have the rights and permissions needed for Customer Content and for any repository, identity provider, or other third-party service you connect. You direct us to access and process data from those services according to the permissions you grant. You can revoke an integration through Thally or the third-party service, but revocation may prevent related features from working.
You are responsible for reviewing changes proposed by Thally before publishing or merging them. Thally's documentation agent is designed to draft reviewable changes and does not merge changes on its own.
AI features
AI features may process your prompts, Customer Content, retrieved documentation, repository context, and instructions to generate answers or proposed documentation changes. You authorize Fairspleet to send the information needed for your request to Anthropic and OpenAI, our AI service providers.
Fairspleet does not use Customer Content, prompts, repository content, documentation, or AI output to train AI models. We use provider services and settings under which content submitted through Thally is not used to train Anthropic's or OpenAI's general-purpose models.
AI output may be incomplete, inaccurate, or unsuitable for your use. You are responsible for reviewing output and for decisions made or actions taken based on it. Do not use AI output as a substitute for professional legal, financial, medical, or other expert advice. You must not submit content to an AI feature unless you have the right to do so.
Acceptable use
You may not use the Services to:
- violate law or another person's rights, including intellectual-property, privacy, or publicity rights;
- upload malware or harmful code, conduct phishing, distribute spam, or facilitate fraud;
- gain unauthorized access to an account, repository, system, or network;
- probe, scan, or test vulnerabilities without written authorization;
- interfere with the integrity, availability, or performance of the Services;
- bypass access controls, rate limits, usage limits, or plan restrictions;
- use automated means to abuse the Services or impose an unreasonable load;
- generate or distribute unlawful, deceptive, or harmful content; or
- violate applicable trade, sanctions, or export-control laws; or
- resell or provide access to the hosted Services except under a written agreement with Fairspleet.
These restrictions do not limit rights granted by the MIT License for the open-source software. We may investigate suspected violations and remove content or restrict access where reasonably necessary to protect the Services, users, or third parties.
Confidentiality
Each party may receive non-public information that is identified as confidential or that should reasonably be understood to be confidential. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. These obligations do not apply to information that is public through no fault of the receiving party, already lawfully known without restriction, independently developed, or lawfully received from another source.
A party may disclose confidential information when required by law after giving notice where legally permitted. Fairspleet may also disclose Customer Content to service providers that need it to provide the Services and are bound by appropriate confidentiality obligations.
Intellectual property and feedback
Fairspleet and its licensors own the Services, including their hosted software, design, trademarks, and other materials, excluding Customer Content and open-source components licensed separately. Subject to these Terms and payment of applicable fees, Fairspleet grants you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription or permitted free use.
If you provide suggestions or feedback, you grant Fairspleet a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation. This does not transfer ownership of Customer Content.
"Thally" and associated logos are trademarks of Fairspleet. These Terms do not grant a right to use our branding in a way that suggests sponsorship or endorsement.
Third-party services
The Services may link to or interoperate with third-party services, including hosting, identity, repository, payment, and AI providers. Your use of a third-party service is governed by its terms and privacy policy. Fairspleet is not responsible for third-party services or for changes they make that affect an integration.
Security and data protection
Fairspleet uses reasonable administrative, technical, and organizational safeguards designed to protect the Services and Customer Content. You are responsible for configuring workspace roles, repository permissions, and self-hosted deployments appropriately.
Our Privacy Policy explains how we handle personal data. If Fairspleet processes personal data on your behalf and applicable law requires additional data-processing terms, contact legal@thally.io.
Service changes, availability, and beta features
We may improve, add, change, or discontinue features. We will provide reasonable notice if a material change significantly reduces the core functionality of a paid Service. The Services may be unavailable during maintenance, emergencies, or events outside our reasonable control.
Unless an Enterprise order form states otherwise, we do not guarantee a particular service level. Features identified as alpha, beta, preview, early access, or trial may be changed or discontinued at any time and are provided for evaluation without a service-level commitment.
Suspension and termination
You may stop using the Services at any time. You may cancel a paid subscription through the account settings or by contacting team@thally.io. Cancellation does not entitle you to a refund except as described under Plans, trials, billing, and refunds or required by law.
We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay fees, or use the Services in a way that could harm Fairspleet, Thally users, or third parties. When practical, we will give notice and an opportunity to cure before suspension or termination. We may act immediately where necessary to prevent harm, comply with law, or respond to an urgent security issue.
After termination, your right to use the hosted Services ends. We may delete Customer Content after a reasonable export period, subject to backups and legal retention obligations. You should export Customer Content before termination. Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, liability limitations, indemnity, disputes, and general terms.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Fairspleet disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing or usage of trade.
Fairspleet does not warrant that the Services will be uninterrupted, error-free, completely secure, or that AI output, analytics, search results, or other content will be accurate or complete. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data, even if advised that such damages were possible.
Except for payment obligations, breach of confidentiality, infringement or misappropriation of the other party's intellectual-property rights, indemnification obligations, fraud, willful misconduct, or liability that cannot legally be limited, each party's total liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid Fairspleet for the Services during the 12 months before the event giving rise to liability or (b) US$100.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
Indemnification
To the extent permitted by law, you will defend and indemnify Fairspleet and its personnel against third-party claims, damages, and reasonable costs arising from Customer Content, your misuse of the Services, or your violation of these Terms or another person's rights. This obligation does not apply to the extent a claim was caused by Fairspleet's breach, negligence, or willful misconduct.
We will promptly notify you of a covered claim and reasonably cooperate at your expense. You may control the defense and settlement, but you may not settle a claim in a way that admits fault by or imposes obligations on Fairspleet without our written consent.
Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict-of-law rules. The courts located in Dubai, UAE will have jurisdiction over disputes arising out of or relating to these Terms or the Services. If mandatory law in your location gives you additional rights or permits you to bring a claim elsewhere, this section does not limit those rights.
Before filing a formal claim, you agree to contact legal@thally.io and try in good faith to resolve the dispute informally. Either party may seek urgent injunctive relief where necessary to protect security, confidential information, or intellectual-property rights.
Changes to these terms
We may update these Terms from time to time. We will post the revised Terms and update the date above. If a change materially affects your rights or a paid Service, we will provide reasonable advance notice. Changes will apply prospectively from their effective date. If you do not agree to updated Terms, you must stop using the Services before they take effect.
General terms
These Terms, the Privacy Policy, any applicable order form, and any terms expressly incorporated by reference form the entire agreement regarding the Services. An order form controls if it expressly conflicts with these Terms.
You may not assign these Terms without our written consent, except in connection with a merger, reorganization, or sale of substantially all your assets. Fairspleet may assign these Terms to an affiliate or in connection with a corporate transaction.
If a provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, or fiduciary relationship. There are no third-party beneficiaries. Headings are for convenience only. Electronic notices and signatures satisfy written requirements to the extent permitted by law.
